For investors and startups, it is of utmost importance to create the right environment and legal structure that will enable their venture to flourish. Choosing the right startup is the investor’s challenge. Setting up a successful and scalable business model is the founder’s challenge. We are the trusted advisor to both investors and founders - we know how to guide you through the legal landscape of investing in or setting up a startup. We differ from other legal service providers because, alongside a full package of high quality services, we actively seek to connect the best startups with the most reliable investors. This has already lead to several startups growing into successful companies. LXA Startup Lawyers has partnerships with various accelerator programs. Also, we work closely with other service providers such as valuators, accountants, tax specialists, notaries and patent/design/trademark attorneys. This makes LXA Startup Lawyers the one-stop-shop for both early stage investors and the founders of the enterprises of the future.

    Startups: the LXA Engine

As a startup founder, you may be hesitant to involve lawyers during your search for a scalable business model. You’re probably so product focused, and cash is probably so limited, that legal matters do not get the attention required to build a venture with the power to attract investors. We aim at minimising this risk for those startups that qualify. Qualifying startups are startups showing serious traction or another indication of viability. Our services protect the startup against unnecessary mistakes which may trigger potential investors to terminate their contemplated investment. In other words, we provide the legal building block required to build an investor proof venture. This building block is called the LXA Engine.

To be concrete, the LXA Engine consists of:

    • legal screening of your business model
    • legal advice on day-to-day matters during your venture building and MVP process
    • advice on IP matters (including filing of designs, patents, trademarks and domain names, freedom to operate analyses and infringement opinions)
    • advice on the preferred corporate structure (including the incorporation of a BV)
    • confidentiality, R&D and (intercompany) licensing agreements
    • founders’, management and employment agreements
    • employee participation plans
    • commercial agreements
    • (master) franchise agreements
    • website documents (such as general terms, disclaimer and privacy statement)
    • advice on subsidies (such as WBSO subsidies) and insurances
    • corporate finance assistance (including pitch deck services)
    • advice on fiscal matters (such as the Innovation Box)
    • advice on desired investment rounds (FFF, angel, seed, Series A, B and C and IPO)
    • term sheets (check our online term sheet generator:
    • investment round assistance (we prepare and negotiate the documentation required, such as investment agreements and shareholders agreements, and efficiently handle and guide you through the transaction process)
